Terms of Service

1. Acceptance of Terms

By accessing or using lunalake.co (the "Site") or engaging Luna Lake LLC for any services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site or our services. These Terms apply to all visitors, clients, and others who access or use our services.


2. Services

Luna Lake LLC provides AI consulting, business transformation and automation services, speaking engagements, workshop facilitation, and educational programs (collectively, "Services"). The specific scope, deliverables, timeline, and fees for any engagement are governed by a separate written service agreement, proposal, or statement of work entered into between Luna Lake LLC and the client. These Terms apply in addition to, and are incorporated into, any such agreement.


3. Use of the Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local laws or regulations.
  • Attempt to gain unauthorized access to any part of the Site or its related systems.
  • Transmit any unsolicited commercial communications or spam.
  • Reproduce, duplicate, copy, or sell any portion of the Site without express written permission from Luna Lake LLC.


4. Intellectual Property

All content on the Site, including text, graphics, logos, frameworks, methodologies, and proprietary materials ("Content"), is the property of Luna Lake LLC or its content suppliers and is protected by applicable intellectual property laws.


Client deliverables created during an engagement are transferred to the client upon receipt of full payment, unless otherwise specified in the applicable service agreement. Luna Lake LLC retains the right to use anonymized, non-confidential information about client engagements for portfolio, case study, and marketing purposes, with client identifying details removed unless written permission is provided.


5. Payment Terms

Payment terms for all services are specified in individual service agreements or proposals. Unless otherwise stated: deposits are required to reserve consulting time and are non-refundable. Remaining balances are due as specified in the agreement. Late payments may be subject to a late fee of 1.5% per month on the outstanding balance. Luna Lake LLC reserves the right to suspend services for accounts more than 30 days past due.


6. Confidentiality

Luna Lake LLC will maintain the confidentiality of non-public business information shared by clients during the course of an engagement and will not disclose such information to third parties without consent, except as required by law. In return, clients agree to maintain the confidentiality of Luna Lake LLC's proprietary frameworks, methodologies, tools, and processes disclosed during an engagement.


7. SMS Communications

By providing your mobile phone number through the Site or any Luna Lake form, you consent to receive SMS text messages from Luna Lake LLC, including appointment reminders, follow-up communications, and promotional content. You may opt out at any time by replying STOP to any message. Message and data rates may apply. Consent is not required as a condition of any purchase or service.


8. Disclaimer of Warranties

The Site and all Services are provided on an "as is" and "as available" basis. Luna Lake LLC makes no representations or warranties of any kind, express or implied, regarding the Site or Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Luna Lake LLC does not guarantee specific business outcomes, revenue results, or client growth from consulting or AI implementation services. Results depend on a variety of factors outside our control.


9. Limitation of Liability

To the fullest extent permitted by applicable law, Luna Lake LLC's total liability to you for any claim arising out of or related to these Terms or our Services shall not exceed the total amount paid by you to Luna Lake LLC in the three (3) months preceding the claim. In no event shall Luna Lake LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.


10. Indemnification

You agree to indemnify, defend, and hold harmless Luna Lake LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.


11. Governing Law

These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.


12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by a mutually agreed-upon arbitrator in Shelby County, Tennessee. Each party shall bear its own costs in arbitration. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.


13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the effective date at the top of this page. Your continued use of the Site or Services after the effective date of any revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.


14. Entire Agreement

These Terms, together with any applicable service agreement or proposal, constitute the entire agreement between you and Luna Lake LLC with respect to the subject matter herein and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
